These Terms & Conditions (“Terms”) govern the services, orders, payments, designs, printing work, digital files, deliveries and other services provided by Osho Enterprise (“Osho Enterprise”, “we”, “us” or “our”) to customers (“customer”, “you” or “your”).

By placing an order, approving a design/proof, making a payment, accepting delivery, or otherwise proceeding with our services, you acknowledge that you have read, understood and agreed to these Terms.

1. OUR SERVICES

Osho Enterprise provides graphic design, DTP, printing, invitation card printing, banner printing, digital files and on-demand printing-related services.

Services may be provided to individual customers, businesses, organisations or other customers.

Orders may be placed through WhatsApp, phone calls or in person at our physical premises. Our website may provide information about our services, but an order is not necessarily placed or confirmed through the website unless specifically stated.

2. ORDER ACCEPTANCE AND WORK START

An order becomes subject to our acceptance after the required details, specifications, pricing and other necessary requirements have been discussed and agreed.

For most customers, we normally require an advance payment before starting the work.

Our normal advance-payment requirement is a minimum of 80% of the agreed order amount. Depending on the nature, size, material, urgency or other circumstances of an order, a different advance amount may be mutually agreed, generally within the range of 50% to 80% or as specifically communicated for that order.

We reserve the right not to start or continue work until the required advance payment and necessary customer information are received.

For certain regular and trusted customers, we may, at our discretion, accept payment upon delivery. This facility is not an automatic right and may be withdrawn or refused for any order.

3. CUSTOMER INFORMATION AND RESPONSIBILITY

The customer is solely responsible for providing correct and complete information required for the order.

This includes, where applicable:

Names

Dates

Addresses

Telephone numbers

Email addresses

Photographs

Logos

Text

Spelling

Prices

Specifications

Design instructions

Other customer-supplied content

The customer must carefully check all information supplied to us and all proofs/designs presented for approval.

Osho Enterprise will not be responsible for mistakes resulting from incorrect, incomplete, outdated or unclear information supplied or approved by the customer.

4. DESIGN, PROOF AND APPROVAL

Where design work is involved, we may provide a proof, preview, sample or digital representation for customer review and approval.

The customer is responsible for checking the final proof carefully before giving approval, particularly names, spelling, dates, numbers, photographs, colours, sizes, addresses and other important details.

Once a customer approves a design/proof, Osho Enterprise may proceed with printing, production or finalisation of the order.

Osho Enterprise is not responsible for customer-approved errors or omissions that were present in the approved design/proof.

Any revision requirements will be handled on a case-by-case basis. Additional charges may apply depending on the nature and extent of the requested revisions.

5. PRINTING AND PRODUCTION VARIATIONS

Printing and physical production may involve reasonable variations in colour, paper, ink, material, size, cutting, finishing, texture or other production characteristics.

The appearance of colours on a screen may differ from the final printed result because screens, printers, inks, papers and other production conditions are different.

Although Osho Enterprise takes reasonable care to maintain consistency and quality, minor and reasonable production variations do not automatically constitute a defect or failure of service.

Where a material production problem or genuine printing error attributable to Osho Enterprise occurs, we may, at our discretion and depending on the circumstances, reprint, redo, reproduce or otherwise rectify the affected work.

6. CUSTOMER APPROVAL AND FINAL RESPONSIBILITY

Customer approval is an important part of the order process.

The customer must review the final design/proof before production.

Approvals are accepted only if provided through WhatsApp, message, email or through another mutually accepted and recordable method only.

After approval, changes requested by the customer may require additional charges and may not be possible if production has already started.

7. PAYMENT

Unless otherwise agreed, the balance amount is payable before or at the time of delivery.

For orders requiring advance payment, work and production may depend upon receipt of the required advance.

Osho Enterprise may withhold delivery of completed work until the outstanding amount has been paid.

For regular customers who have been specifically permitted to pay upon delivery, the full amount becomes payable upon delivery.

Any additional work, revision, material, delivery, urgent work or other charge not included in the original quotation may be payable separately.

8. CANCELLATION BY CUSTOMER

A customer may request cancellation of an order even after payment.

However, cancellation does not automatically create a right to a full refund.

If work has not progressed beyond the design/approval stage, Osho Enterprise may refund the eligible amount after deducting applicable design/work charges and any other costs already incurred.

Once printing, production, material procurement or another irreversible process has started, the amount paid may become non-refundable because costs may already have been incurred or committed.

Each cancellation will therefore be considered according to the actual stage of the order and costs already incurred.

The detailed refund and cancellation conditions are provided separately in our Refund Policy.

9. PRODUCT REJECTION, REPRINT AND RECTIFICATION

A customer should inspect the delivered work and inform Osho Enterprise of any genuine issue as soon as reasonably possible.

If an issue is attributable to our printing or production process, Osho Enterprise may, depending on the circumstances, offer reprinting, reproduction, correction, redo or another reasonable solution instead of a monetary refund.

Where a customer rejects an order despite the work having been produced according to the agreed specifications and approved design, the matter may be discussed directly with the customer to find a reasonable solution.

Payment already made for completed production is generally not refundable merely because the customer subsequently changes their preference or rejects the completed product.

10. DELIVERY AND PICK-UP

Where physical delivery is requested, delivery charges are payable by the customer unless specifically agreed otherwise.

The customer may alternatively collect the completed order from our physical store/premises without delivery charges.

Delivery may be carried out by Osho Enterprise, a third-party delivery provider, courier or another suitable service.

Once the order has been handed over to the customer or accepted at the delivery/pick-up point, the order will generally be considered delivered.

Third-party delivery services may have their own terms, conditions, limitations and responsibilities.

11. DIGITAL FILE DELIVERY

Digital files may be delivered through WhatsApp, email, cloud storage, download links or another mutually agreed method.

The customer is responsible for providing a suitable method of receiving and storing the delivered files.

Unless otherwise agreed, delivery of a digital file does not automatically include editable/source files.

12. EDITABLE AND SOURCE FILES

Editable/source files such as CorelDRAW or other working files are not automatically included with an ordinary design or printing order.

Such files may be provided only when specifically agreed and may involve additional charges.

Where source files are specifically purchased or agreed, the applicable terms for those files will be communicated separately.

13. DESIGN OWNERSHIP AND PORTFOLIO USE

Unless an order is specifically placed and charged as a design-only service, the design work prepared as part of a printing or other production order is not automatically sold or transferred as a separate standalone design product.

Design-only services and editable/source files may be provided when specifically requested and agreed, subject to applicable charges and terms.

Osho Enterprise may retain the right to display completed design or printing work in its portfolio, website, social media, promotional material or other marketing activities.

If a customer does not want their completed work to be used for portfolio or marketing purposes, the customer must clearly communicate this restriction to Osho Enterprise in writing before or at the time of placing the order.

14. CUSTOMER-SUPPLIED CONTENT AND INTELLECTUAL PROPERTY

The customer represents that they have the necessary rights, permissions or authority to provide photographs, logos, text, artwork, trademarks, documents and other materials supplied to Osho Enterprise for use in the order.

The customer is responsible for any copyright, trademark, privacy, personality-right, licensing or other legal issue arising from materials supplied by the customer.

Osho Enterprise does not knowingly agree to create or reproduce content that is illegal or that infringes the rights of others.

If we reasonably believe that supplied material may involve illegal activity, infringement, fraud, misuse or other serious risk, we may refuse, suspend or cancel the relevant work.

15. PROHIBITED OR UNLAWFUL USE

Osho Enterprise does not offer, encourage or knowingly support services involving illegal, fraudulent, deceptive, defamatory, abusive, threatening, obscene or otherwise unlawful activities.

We may refuse any order or request that we reasonably believe could involve:

- Illegal activity

- Fraud or deception

- Copyright or trademark infringement

- Unauthorised reproduction

- Forgery

- Misuse of official documents

- Impersonation

- Defamation

- Threatening or abusive material

- Other unlawful or high-risk activity

Where appropriate, we may request clarification or supporting information before accepting such work.

16. SERVICE QUALITY AND LIMITATIONS

Osho Enterprise will make reasonable efforts to provide services according to the specifications agreed with the customer.

However, certain aspects of printing and production are affected by materials, machines, paper, ink, colours, environmental conditions, third-party services and other factors beyond our complete control.

Minor and reasonable variations that do not materially affect the agreed purpose or usability of the order will not automatically constitute a service failure.

17. URGENT ORDERS

Urgent or priority orders may be accepted depending on workload, production capacity and availability.

An additional urgent/priority charge may apply where communicated and agreed before proceeding.

Osho Enterprise does not guarantee acceptance or completion of an urgent order unless the applicable arrangement has been specifically confirmed.

18. CUSTOMER DELAYS

Customers are responsible for providing required information, approvals, corrections, payments and other inputs necessary for completion of their order.

If the customer delays providing such information or approval, the completion or delivery of the order may also be delayed.

Osho Enterprise is not responsible for delays caused by the customer's failure to provide the required information, approval, payment or other cooperation.

19. PRICES AND TAXES

Prices are based on the specifications and requirements communicated for the particular order.

Any change in quantity, size, material, design, finishing, delivery, urgency, revisions or other requirements may change the final price.

Osho Enterprise currently does not collect GST where its GST registration has been surrendered, and applicable invoices/documents may contain an appropriate note regarding the same.

Tax treatment may change according to applicable Government laws, rules, notifications or requirements. If Osho Enterprise becomes legally required to collect any applicable tax, such tax may be charged as required by law.

20. THIRD-PARTY SERVICES

Some parts of an order or payment/delivery process may involve third-party services or platforms.

Examples may include payment gateways, banks, courier services, cloud-storage services, communication platforms, printing/material suppliers or other service providers.

Such third parties may have their own terms, conditions, privacy policies, fees, limitations and responsibilities.

Osho Enterprise is not responsible for matters solely arising from the operation or policies of an independent third-party service provider, subject to applicable law.

21. COMMUNICATION

Order-related communication may take place through WhatsApp, phone, email, in-person communication or other mutually accepted methods.

Customers should retain important order-related messages, approvals, quotations, payment records and other communications for their own reference.

22. PAYMENT RECORDS AND ORDER DETAILS

Customers should verify the order number, order title, amount, payment status and other order details communicated to them.

Where a payment request or payment page is provided, the customer should verify the relevant order details before making payment.

Payment does not remove the customer's responsibility to review the order details and agreed specifications.

23. NO GUARANTEE OF CONTINUOUS AVAILABILITY

Osho Enterprise may temporarily suspend, change or discontinue any service, facility, communication channel, payment method or other business process due to operational, technical, commercial, legal or other reasons.

We will make reasonable efforts to complete accepted orders that are already in progress, subject to circumstances beyond our reasonable control.

24. FORCE MAJEURE

Osho Enterprise will not be responsible for delays or inability to perform caused by circumstances beyond our reasonable control, including natural disasters, fire, flood, severe weather, power failure, equipment failure, internet or communication failure, strikes, transportation disruption, supplier problems, government restrictions, regulatory changes, public emergencies or similar events.

Where reasonably possible, we will communicate the situation and work toward an appropriate solution.

25. LIMITATION OF RESPONSIBILITY

Osho Enterprise will make reasonable efforts to provide the agreed service and rectify genuine service or production issues attributable to us.

However, we will not be responsible for losses arising from incorrect information supplied or approved by the customer, customer-approved errors, customer changes of mind, failure to provide timely information, misuse of delivered work, or circumstances outside our reasonable control.

Nothing in these Terms is intended to exclude or restrict any right or remedy that cannot legally be excluded or restricted under applicable law.

26. CUSTOMER DISPUTES AND COMPLAINTS

If a customer has any concern, complaint or dispute regarding an order, the customer should first contact Osho Enterprise.

We will first attempt to resolve the matter through direct communication, discussion, meeting or chat in good faith.

Customers are encouraged to give us a reasonable opportunity to understand and resolve the issue before taking further action.

27. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws applicable in India.

Osho Enterprise and the customer will first attempt to resolve disputes amicably through direct discussion.

If the dispute cannot be resolved, the matter may be pursued before the appropriate authority, forum or court having jurisdiction under applicable law.

Subject to applicable law and the jurisdiction rules applicable to the particular dispute, Ahmedabad, Gujarat will be the agreed jurisdiction for legal proceedings.

Nothing in this clause is intended to take away any mandatory legal right or remedy available to a customer under applicable law.

28. CHANGES TO THESE TERMS

Osho Enterprise may update, modify, add or remove provisions of these Terms from time to time.

Such changes may be made without prior notice or pre-information.

The latest version published on our website will be the applicable version for future orders, subject to applicable law.

Customers are advised to stay connected with Osho Enterprise and review the latest Terms when placing new orders.

29. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the extent permitted by law, and the remaining provisions will continue to apply.

30. ACCEPTANCE OF TERMS

By placing an order, making an advance payment, approving a design/proof, accepting delivery, or otherwise proceeding with our services, the customer confirms that they have had an opportunity to read and understand these Terms and agree to be bound by them, subject to applicable law.

These Terms should be read together with our Refund Policy and any specific quotation, order confirmation, invoice or written agreement applicable to the particular order.
